Terms of use

These terms are the agreement between you and Indawo for use of the service. By creating an account you accept them. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it.
The service
Indawo lets you record your product distribution network, rate your stockists and publish the result as a map on your own website.
Your account
- You must give accurate registration details and verify your email address.
- You are responsible for activity under your account and for keeping your password secret.
- You are responsible for the users you invite and the permissions you give them.
- Tell us promptly if you believe an account has been compromised.
Plans, payment and renewal
- The Free plan is provided at no charge and needs no payment details.
- Paid plans are billed monthly in advance through Stripe and renew automatically until cancelled.
- Prices are in pounds sterling and exclude VAT, which is added where it applies.
- You can cancel at any time from the billing page. Your plan continues until the end of the period you have paid for, after which the account reverts to the Free plan.
- Payments already made are not refunded except where the law requires it. Because this is a business service, the consumer cooling-off period does not apply.
- If a payment fails we may suspend paid features until it is settled.
- We may change prices with at least 30 days notice by email. The new price applies from your next renewal.
Plan limits
Each plan includes allowances for locations, products, sites, users and monthly map queries. When an allowance is used up your existing data keeps working, but you cannot add more until you upgrade or make room. We may throttle requests that exceed a monthly query allowance.
Your data
You keep all rights in the data you upload. You grant us the licence needed to host, process and publish it in order to run the service, including serving your map to your website visitors. You confirm you have the right to provide that data and that publishing it does not infringe anyone else rights or data protection law.
You can export your data at any time while your account is open. Our handling of personal data is described in the privacy policy.
Acceptable use
You must not:
- break the law, infringe intellectual property or upload unlawful content;
- upload special category personal data, or personal data about consumers rather than businesses;
- attempt to bypass plan limits, security controls or another customer isolation;
- scrape, resell or redistribute the service, or use it to build a competing product;
- interfere with the service, for example by sending automated traffic beyond your allowance.
Maps and other third parties
Map tiles and geocoding come from OpenStreetMap, or from Google if you supply your own API key. Your use of those services is subject to their own terms, and where you supply a key you are responsible for the account behind it.
Availability
We aim to keep the service available at all times but do not promise it will be uninterrupted or error free. We may carry out maintenance, and will give notice of planned downtime where we reasonably can. The Free plan is provided without any availability commitment.
Suspension and termination
- You can close your account at any time.
- We may suspend or end an account that breaches these terms, that is used unlawfully, or where payment remains unpaid, and will tell you why.
- We may withdraw the Free plan or the service as a whole on 30 days notice.
- On termination we delete your data in line with the retention periods in the privacy policy, so export anything you need first.
Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Otherwise, neither party is liable for loss of profit, loss of business, loss of goodwill or indirect or consequential loss. Our total liability in any 12 month period is limited to the fees you paid in that period, or £100 if you are on the Free plan.
The service is provided as is. To the extent the law allows, we exclude implied warranties of fitness for a particular purpose.
Changes to these terms
We may update these terms. For material changes we will email account holders at least 30 days beforehand. Continuing to use the service after that date means you accept the new terms.
Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Neither party may assign the agreement without the other consent, except to a successor of its business.
